Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you, on behalf of the business or organisation you represent (the "Subscriber"), and GoAstraX ("GoAstraX", "we", "us") covering use of the GoAstraX platform, dashboards, APIs, widgets, and any related services (collectively, the "Service"). By creating an account, signing up to a plan, or using the Service in any other way, you agree to these Terms.

2. Account & Eligibility

To use the Service you must be at least 18 years old, have authority to bind the Subscriber to these Terms, and provide accurate registration information. You are responsible for maintaining the confidentiality of your credentials and for every action taken under your account. Notify us immediately at security@goastrax.com if you suspect unauthorised access.

3. The Service & Free Plan

The Service routes Conversation Content between Channels and a unified inbox, retains conversation history for the Subscriber, and provides AI-assisted reply drafting, summaries, and customer-memory features. A free plan is available; certain features, message volumes, and channel types may be reserved for paid plans or restricted in beta. We may change plan inclusions on reasonable notice.

4. Subscriber Responsibilities

  1. Lawful use. The Subscriber will use the Service only for lawful purposes and only to contact End Users who have a reasonable expectation of being contacted (for example, existing customers, opted-in leads, or users who have initiated contact).
  2. Channel rules. Each Channel is operated by an independent provider with its own terms, platform policies, message-tagging rules, and 24-hour or session windows. The Subscriber is solely responsible for complying with the rules of every Channel it connects, including content policies, prohibited industries, consent requirements, and any rate or template restrictions. Repeated violations of a Channel's rules may cause the Channel provider to suspend or revoke access; we cannot reinstate access on the Subscriber's behalf.
  3. Consent & privacy notice. The Subscriber will obtain all consents required by applicable law to send messages to its End Users and to process their personal data through the Service, and will publish a privacy notice describing this processing to End Users.
  4. No prohibited content. The Subscriber will not send, store, or generate content through the Service that is unlawful, discriminatory, violent, sexually exploitative, deceptive (including phishing or impersonation), or that infringes intellectual-property or privacy rights.
  5. No abuse. The Subscriber will not bulk-send unsolicited messages, harvest contact data without consent, attempt to circumvent rate limits or anti-abuse controls, or reverse-engineer the Service.
  6. Accuracy of business information. Knowledge-base content, product catalogue entries, and prompts the Subscriber configures must be accurate. The Service drafts replies from this material — incorrect inputs will produce incorrect replies.

5. AI-Assisted Replies

The Service can generate reply drafts, summaries, and customer-memory snippets using third-party large-language-model providers. AI output may contain errors, omissions, or fabrications. The Service offers three modes that the Subscriber selects per Channel:

The Subscriber is solely responsible for the content of every message sent through the Service, whether the message originated from a human or from the AI. Where the Channel provider, regulator, or law requires that automated communications be disclosed, the Subscriber will make those disclosures.

Treat AI drafts as a starting point. Review any message that touches medical, legal, financial, safety-critical, or personally sensitive subject matter before it goes out.

6. Subscriber Content & Conversation Content

The Subscriber retains all rights to its Subscriber Content and Conversation Content. The Subscriber grants GoAstraX a limited, worldwide, non-exclusive licence to host, process, transmit, transcribe, summarise, embed, and otherwise operate on that content only to provide the Service to the Subscriber and as described in our Privacy Policy. We do not use Subscriber Content or End User content to train general-purpose AI models.

The Subscriber represents that it has all rights and consents necessary to upload Subscriber Content and to route Conversation Content through the Service.

7. Channel Integrations

Connecting a Channel may require the Subscriber to authenticate with that Channel's provider and grant the Service the permissions necessary to send and receive messages on the Subscriber's behalf. Channel providers may change their APIs, suspend access, or impose new restrictions at any time. We will make reasonable efforts to keep integrations working but cannot guarantee continued availability of any Channel. The Subscriber is responsible for the configuration of its Channels and for the actions taken on its behalf through them.

8. Beta Features

Some Channel integrations or features are offered in beta and may be enabled per Subscriber. Beta features may be incomplete, may behave inconsistently, and may be removed or changed without notice. They are provided "as is" and are excluded from any availability commitment.

9. Suspension & Termination

We may suspend or terminate the Subscriber's access if the Subscriber breaches these Terms, if continued provision creates a security or legal risk to us or a third party, if a Channel provider requires it, or if non-payment occurs. We will give reasonable notice where it is safe and lawful to do so.

The Subscriber may stop using the Service at any time. Termination does not relieve the Subscriber of fees accrued before termination. On termination, the Subscriber may request export of its Conversation Content for a reasonable window; after that window, content may be permanently deleted in line with our retention schedule.

10. Fees & Plans

Paid plans are billed in advance on the cycle stated at checkout. Plans are non-refundable except where required by law. We may change pricing on at least 30 days' notice; price changes do not affect the remainder of a pre-paid cycle. Usage in excess of plan limits may incur overage fees, be queued, or be blocked, as the plan describes.

11. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by GoAstraX and protected by intellectual-property laws. Nothing in these Terms transfers any GoAstraX intellectual property to the Subscriber except the limited right to use the Service as described.

12. Privacy & Security

Our handling of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We apply industry-standard technical and organisational security measures and will notify the Subscriber without undue delay of any confirmed personal-data breach affecting its data.

13. Confidentiality

Each party will keep confidential information disclosed by the other party confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This obligation does not apply to information that is public, independently developed, lawfully received from a third party without restriction, or required to be disclosed by law (with notice where lawful).

14. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant the accuracy of AI-generated content or any third-party content surfaced through the Service.

15. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or the Service. Our aggregate liability arising out of or relating to these Terms will not exceed the fees paid by the Subscriber to GoAstraX in the 12 months preceding the event giving rise to the claim, or USD 100, whichever is greater. These limits do not apply to liability that cannot be excluded by law.

16. Indemnification

The Subscriber will defend, indemnify, and hold harmless GoAstraX and its officers, employees, and agents from any third-party claim arising out of (a) the Subscriber's breach of these Terms or applicable law, (b) the Subscriber's content or messages, (c) the Subscriber's use of any Channel in violation of the Channel provider's terms, or (d) the Subscriber's failure to obtain required End User consent.

17. Changes to the Service or Terms

We may improve, modify, or discontinue parts of the Service at any time. We may update these Terms; material changes will be notified to active Subscribers by email or in the admin dashboard at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.

18. Governing Law & Disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-law rules. Any dispute will be brought in the courts of Singapore, and each party submits to their exclusive jurisdiction. Nothing in these Terms prevents either party from seeking urgent injunctive relief in any competent court.

19. Miscellaneous

These Terms (together with the Privacy Policy and any plan-specific terms surfaced at checkout) are the entire agreement between the parties on the subject matter. If any provision is held unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver of it. The Subscriber may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
